1.  Terms of Use Agreement

This Terms and Conditions of Use Agreement ("Terms of Use") constitutes a binding agreement between you and NetQuote, Inc. ("NetQuote"). Please carefully read through all sections of these Terms of Use. By accessing this web site or any of the web sites owned or controlled by NetQuote (each a "Site" and collectively the "Sites") you agree to be bound by these Terms of Use. Additionally, please be advised that any content you submit to NetQuote, through the customer satisfaction survey (with a testimonial waiver form), through the newsletter, on our Sites, via emails, or otherwise, becomes the property of NetQuote. If you do not acknowledge and agree to these Terms of Use, then do not enter your information and do not continue using our Sites. Your access to and use of the Sites is subject to these Terms of Use and all applicable laws. These Terms of Use may be changed by us from time to time without notice to you, and the latest version will be posted on this Site.

2.  Privacy and Security

Your privacy is very important to us. We understand that you entrust us with your private information to help us match you with an insurance agent who can meet your needs. In exchange for your trust, you expect and deserve our commitment to treat your information with respect. Rest assured that we protect your privacy. All personal data provided to us as a result of your use of the Sites will be handled in accordance with our Privacy Policy.

By agreeing to these Terms of Use, you agree to the terms of our Privacy Policy. In order to protect your data in transmissions between you, NetQuote, our agent network, and our third party agent networks, personal Information is collected by NetQuote only through secured browser connections. These security measures help prevent unauthorized access and maintain data security. No transmission of data over the Internet, however, is guaranteed to be completely secure; information can be unlawfully intercepted by other parties. Although NetQuote takes your privacy very seriously, we cannot guarantee the safety of your information.

3.  How our Service Works

NetQuote is the leading online marketplace connecting consumers with insurance agents to compete for their business across a variety of insurance policy types. NetQuote has been in business since 1989. NetQuote is not an insurance agency and does not provide quotes directly to consumers. Rather, NetQuote is a free matching service that instantly connects you with our nationwide network of quality insurance agents.

After you submit your quote request via NetQuote.com, NetQuote immediately matches you to local and national agents who can meet your insurance needs. We create this connection by emailing you the list of matching agents and their contact information as well as passing your information to the agents. Your matching agents will use the information you provided in your quote request to provide you with a quote. Sometimes, NetQuote does not have a matching agent based on your location and insurance needs. In this event, your information may be passed to one of our third party agent networks to ensure that you receive as many competitive quotes as possible.

NetQuote does not charge a fee to use our service. NetQuote is paid a fee by the insurance agents who purchase leads through our service.

NetQuote is not an agent of you or the insurance agents; we do not recommend any particular insurance agent or type of insurance. Use your own judgment in choosing an insurance agent and policy. We cannot guarantee that you will receive quotes.

By submitting a quote request, you authorize NetQuote to provide your information to insurance agents, both local and national. You also authorize NetQuote to provide your information to one of our third party agent networks in the event that our primary agent network has no agents in your zip code. You authorize these agent networks to share your information with their vendors, suppliers, and insurance carriers in order to generate information for your quotes.

You understand you are extending an express invitation for insurance agents to contact you by any means provided on your quote request, including your phone numbers and email addresses. If you choose to purchase a policy from a particular agent, any further communications with that agent are not covered under these Terms of Use.

4. Minors

NetQuote does not intentionally target anyone under the age of 16. Our Sites and services are not directed toward people under the age of 16, nor do we knowingly collect information from individuals under the age of 16. Individuals between the ages of 16 and 18 are granted permission to use our Sites only with the permission of their parent or guardian.

5.  Links to Third Party Web sites

NetQuote's Sites may contain links to third party sites. These links are provided for your convenience, however NetQuote's hosting of these links is not an endorsement of any particular company. Be aware that NetQuote is not responsible for the privacy practices of other sites; we encourage you to thoroughly read the privacy policies of third party sites linked from our Sites to ensure that you are comfortable with their practices.

6.  Content, Copyright and Trademark

All text, graphics, photographs, trademarks, logos, and computer code contained on the Sites (collectively, "Content"), including but not limited to the design, "look and feel" and arrangement of such Content, is owned, controlled or licensed by NetQuote and/or its suppliers and participating agents. Except as otherwise provided herein, none of the Content may be used, copied, reproduced, distributed, republished, downloaded, modified, displayed, posted or transmitted in any form or by any means, without our express prior written permission. Permission is hereby granted to lawfully access and use the Sites to display, download, archive and print, portions of the Sites on a temporary basis for your individual use. You may not otherwise modify or download any Content on the Site without the prior express written permission of NetQuote.

7.  Disclaimers

NetQuote intends that the information contained on our Sites is accurate and reliable; even so, errors can sometimes occur. We reserve the right to make changes and/or additions to our Sites or the information contained on these Sites at any time.

NetQuote is not responsible for errors or delays in matching your quote request with qualified agents if personal information such as email address and phone number are not entered correctly. We are also not responsible for any quotes agents may generate that are the result of incorrectly entered quote request information.

WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SITES, THE SERVICES YOU MAY OBTAIN THROUGH THE SITES, OR THE CONTENT, WHICH ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, QUALITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SITES, ANY WEBSITE WITH WHICH THEY ARE LINKED, ANY SERVICES PROVIDED ON THE SITES, AND THE RESULTS YOU MAY OBTAIN FROM USING THE SITES OR THE SERVICES. WE DO NOT WARRANT THAT THE SITES, THEIR SERVERS OR E-MAIL SENT FROM US OR AGENTS USING OUR SERVICES WILL BE FREE OF ANY HARMFUL COMPONENTS (INCLUDING VIRUSES). 8. Exclusion of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS WE, ON BEHALF OF OUR EMPLOYEES, AGENTS, SUPPLIERS, AND CONTRACTORS, EXCLUDE AND DISCLAIM LIABILITY FOR ANY LOSSES AND EXPENSES OF WHATEVER NATURE AND HOWSOEVER ARISING INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOSS OF USE, LOSS OF DATA, LOSS CAUSED BY A VIRUS, LOSS OF INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, CLAIMS OF THIRD PARTIES, OR OTHER LOSSES OF ANY KIND OR CHARACTER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITES OR ANY WEBSITE WITH WHICH THEY ARE LINKED. THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR ANY OTHER BASIS. Some jurisdictions do not allow the exclusion of implied warranties, or certain kinds of limitations or exclusions of liability, so the limitations & exclusions set out in these Terms of Use may not apply to you.

9. Your Use of the Sites

You agree to use the Sites in a manner consistent with any and all applicable laws, rules and regulations. You agree not to upload or transmit through the Sites any computer viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer. Any unauthorized modification, tampering or change of any information, or any interference with the availability of or access to the Sites is strictly prohibited. NetQuote reserves all rights and remedies available to it.

You may not use any "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process to access, acquire, copy or monitor any portion of the Sites or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Sites or any Content, to obtain or attempt to obtain any materials or information through any means not purposefully made available through the Sites. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Sites or any transaction being conducted on the Sites, or with any other person's use of the Sites.

You agree to indemnify, release and hold harmless NetQuote and our officers, directors, agents, representatives and employees from any claim, liability, loss, expense or demand, including legal fees, related to your violation of these Terms of Use or your access or use of the Sites.

10. Right to Modify or Discontinue Sites

NetQuote reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Sites (or any part thereof) with or without notice. You agree that NetQuote will not be liable to you or to any third party for any modification, suspension or discontinuance of the Sites.

11. Accounts, Passwords and Security

Certain features or services offered on or through the Sites may require you to create an account (including a user ID and password). You are entirely responsible for maintaining the confidentiality of your account information, including your password, and for any and all activity that occurs under your account. You agree to notify NetQuote immediately of any unauthorized use of your account or password, or any other breach of security.

You may not use anyone else's logon information, password or account at any time without the express permission and consent of the holder of that account information. NetQuote cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

12. Other Agreements

These Terms of Use may be supplemented or amended by the terms of other "click-through" agreements between you and NetQuote found on our Sites (the "Other Agreements"). In such cases, you may be asked to expressly consent to the terms of such Other Agreements, for example, by checking a box or clicking a button marked "I agree." If the terms relating to the subject matter of these Terms of Use are different than the terms of those Other Agreements, the of the Other Agreements will supplement or amend these Terms of Use.

13. Miscellaneous

This Agreement will be governed and construed in accordance with the laws of the State of Colorado and the United States without regard to any conflict of laws principles that would require the application of the laws of another jurisdiction. Any dispute arising under or in connection with this Agreement will be heard exclusively in the state and federal courts for the City and County of Denver, Colorado; you hereby expressly and irrevocably consent and waive any objection to the personal jurisdiction, venue and convenience of such courts. No waiver by NetQuote of any breach of or right under this Agreement will be a waiver of any preceding or succeeding breach or any other right.
